Description **Job Description:**

The attorney will provide legal counsel on executive compensation and employee benefits matters.

Specific duties will include:

+ Providing legal support for HR and compensation executives throughout the executive lifecycle, including in matters related to new hires, in-service employees, and terminating individuals;

+ Providing legal support related to the design and operation of defined contribution and defined benefit plans, both qualified and nonqualified;

+ Providing legal support related to the design and operation of health, welfare, cafeteria, and wellness programs;

+ Supporting international regulatory compliance matters related to compensation and benefits;

+ Providing advice related to incentive plan design, implementation, governance, operations, and recordkeeping;

+ Assisting in matters related to long-term incentive awards, including equity-based arrangements;

+ Assisting with international tax matters; and

+ Drafting public disclosures such as proxy statement and 10-K materials.

Enterprise Description:

Provides general legal counsel on employment and benefits related matters, as well as specific advice on products, services and certain legal actions. Reviews legal contracts and documents. Directly, or through staff, conducts legal research. May represent the bank in legal actions. Individuals in this position typically have a minimum of six years of experience since admission to the Bar.


+ Juris Doctor

+ Admitted to state bar in good standing.

+ 5+ years experience practicing in the area of compensation and/or benefits.

+ Ability to work independently.

+ Strong project management skills.


+ Experience with qualified and nonqualified plans.

+ Experience with health and welfare plans.

+ Experience with executive compensation.

+ 7+ years experience practicing in the area of compensation and benefits.

+ Knowledge of executive compensation-related disclosures (e.g., proxy, Section 16 filings) for publicly traded companies.

+ Experience representing publicly traded companies before federal agencies in benefits- and compensation-related matters.

+ Experience with international financial regulators.
